Terms and Conditions for Participation in the
Ask Briendly™ Podcast

Welcome to Ask Briendly ("Podcast," "we," "us," or "our"), a service provided by DigiSuite Council LLC, a Georgia limited liability company ("Company," "we," "us," or "our").
These Terms and Conditions ("Terms") govern your participation in the Ask Briendly Podcast, including the submission of questions and any related activities. By applying to participate in our podcast, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, you must not participate in the Ask Briendly Podcast.

Definitions

Company," "We," "Us," or "Our": Refers to DigiSuite Council LLC, the owner and operator of the Ask Briendly Podcast.

"Participant," "You," or "Your": Refers to any individual who applies to participate in the Ask Briendly Podcast.
1 Eligibility Criteria
To participate in the Ask Briendly Podcast, you must meet the following eligibility requirements:

Age Requirement: Participants must be at least 18 years old.

Founder Status: Applicants must be female founders of a business entity and subscribed to our Annual Pass membership to qualify.

Business Location: Restricted to the United States.

Briendly membership: Hold an active membership in Briendly at through the application, acceptance, editing, through publication of Podcast on platform.

Application Completeness: Applications must be complete and truthful. Incomplete or fraudulent applications may be disqualified.
2. Submission Guidelines
2.1 How to Submit Questions
Participants must submit their business questions through our designated application form available on our website https://www.legacymathbootcamp.com/answer-key. Submissions must adhere to the following guidelines:

Format: Questions must using our application outlined on our website.

Language: All submissions must be in English.

Content Restrictions: Questions must pertain to business challenges and should not include defamatory, offensive, or illegal content.

Confidentiality: Do not include sensitive or confidential information that you wish to keep secret as part of your business intellectual property.
2.2 Deadlines

Submission Window: Applications are accepted on a rolling basis unless otherwise specified.

Response Time: We aim to respond to all submissions within 14 business days. However, due to high volume, not all applicants may be selected.
3. Content Ownership
3.1 Submitted Questions
By submitting a question, you (“Participant”) retain ownership of your original content. However, by participating in the Ask Briendly Podcast, you grant DigiSuite Council LLC certain rights as outlined below.
3.2 Podcast Content
All content created for the podcast, including recordings, transcripts, and promotional materials, are owned by DigiSuite Council.
4. Usage Rights
4.1 License Grant
By submitting your question and participating in the podcast, you grant Ask Briendly a non-exclusive, worldwide, royalty-free, perpetual license to:

Use, reproduce, distribute, prepare derivative works of, display, and perform your submitted question and the podcast content in any media formats and through any media channels.
4.2 Modification Rights
We reserve the right to edit, modify, or otherwise alter your submitted question and the podcast content for clarity, length, and format as deemed necessary.
4.3 Distribution Rights
Ask Briendly may distribute the podcast content across various platforms, including but not limited to, our website, social media channels, and podcast streaming services.
5. Dispute Resolution
5.1 Informal Resolution
In the event of any dispute arising out of or related to these Terms or your participation in the podcast, you agree to first seek resolution through informal negotiations by contacting us at customersuccess@digisuitecouncil.com.
5.2 Arbitration
If the dispute cannot be resolved informally within 30 days, it shall be resolved through binding arbitration conducted in accordance with the rules of the American Arbitration Association in the state of Georgia. The arbitration shall be conducted in English, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.
5.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles.
6. Termination Clause
6.1 Termination by Participant
You may terminate your participation anytime by notifying us in writing at customersuccess@digisuitecouncil.com..
6.2 Termination by Ask Briendly
DigiSuite Council LLC reserves the right to terminate your participation in the podcast for any of the following reasons:

Violation of these Terms.

Submission of inappropriate, offensive, or illegal content.

Misrepresentation of information in your application.
-
Any other conduct deemed harmful to the podcast or its community.
Upon termination, all rights granted to you under these Terms will cease immediately, and you must promptly discontinue any use of the podcast content.
7. Intellectual Property
All trademarks, service marks, and logos used in connection with the podcast are the property of DigiSuite Council® or their respective owners. You are not permitted to use these without our prior written consent.

8. No Guarantees of Financial Results and Limitation of Liability
8.1. No Guarantees of Outcomes
Participants acknowledge and agree that any coaching, advice, insights, or information provided during their participation in the Ask Briendly Podcast (“Podcast”) are intended for informational and educational purposes only. Ask Briendly makes no representations or warranties, express or implied, regarding the accuracy, completeness, or effectiveness of the information provided.

No Financial Guarantees: Ask Briendly does not guarantee any specific financial results, business outcomes, or success as a result of applying the advice or strategies discussed in the Podcast.

Individual Responsibility: Participants are solely responsible for their own business decisions and actions. Ask Briendly is not liable for any outcomes, positive or negative, that arise from the implementation of the advice or information provided.

8.2. Limitation of Liability
To the fullest extent permitted by Georgia law, DigiSuite Council LLC, its affiliates, officers, directors, employees, agents, and partners shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or use, arising out of or in connection with:

Participation in the Podcast: Any participation in the Podcast, including submission of questions, attendance of sessions, or implementation of advice provided.

Reliance on Information: Any reliance on the information, advice, or strategies discussed in the Podcast, whether or not based on a professional consultation.
8.3. Indemnification
Participants agree to indemnify, defend, and hold harmless DigiSuite Council LLC and its affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

Participant’s Actions: Any actions taken by the participant based on the information or advice provided in the Podcast.

Violation of Terms: Any breach of these Terms and Conditions by the participant.

8.4. No Professional Relationship
Participation in the Ask Briendly Podcast does not establish a professional-client relationship between the participant and Ask Briendly or its representatives. Any advice or information provided is not a substitute for professional financial, legal, or business counsel tailored to the participant’s specific circumstances.
9. Amendments to Terms
Ask Briendly reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued participation in the podcast after such changes constitutes your acceptance of the new Terms.
10. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

11. Prohibition on Resale and Commercial Use of Podcast Content
11.1. Restriction on Commercial Use
Participants agree that they shall not incorporate, reproduce, distribute, or utilize any information, advice, content, or materials provided during their participation in the Ask Briendly Podcast (“Podcast”) into any coaching programs, training sessions, seminars, workshops, or other commercial products intended for resale or distribution without the prior written consent of Ask Briendly.
11.2. Scope of Restricted Use
This restriction applies to all forms of media, including but not limited to:

Digital Formats: E-books, online courses, webinars, websites, blogs, and downloadable resources.

Print Formats: Books, brochures, manuals, and handouts.

Audio-Visual Formats: Videos, recordings, and multimedia presentations.
11.3. Unauthorized Use and Remedies
Any unauthorized use of Podcast content for commercial purposes is strictly prohibited and constitutes a violation of these Terms. In the event of such a violation, Ask Briendly reserves the right to:

Terminate Participation: Immediately terminate the participant’s involvement in the Podcast without prior notice.

Seek Legal Remedies: Pursue all available legal remedies, including but not limited to injunctive relief and monetary damages, to enforce these Terms and protect its intellectual property rights.
11.4. Acknowledgment of Intellectual Property
Participants acknowledge that all content, including but not limited to questions submitted, discussions held, and coaching provided during the Podcast, are the intellectual property of Ask Briendly. Except as expressly permitted in these Terms, no other rights, including any implied rights, are granted to participants.
11.5. Exceptions
Any exceptions to this prohibition must be explicitly granted in writing by Ask Briendly. Such permissions, if granted, will outline the specific scope and limitations of the authorized use.​

12. Podcast Recording Cancellation Policy
12.1. Purpose
The Cancellation Policy outlines the procedures and consequences related to the cancellation or absence of participants from their scheduled Ask Briendly Podcast booked sessions. This policy ensures the efficient management of podcast scheduling and maintains the quality and reliability of the podcast for all participants and listeners.
12.2. Booking Slot Commitment
By booking a session with the Ask Briendly Podcast, participants acknowledge and agree to the following:

Scheduled Time: Participants are required to attend their scheduled Zoom session at the agreed-upon date and time.

Punctuality: Participants should join the Zoom call promptly at the scheduled time to ensure the session proceeds as planned.
12.3. Consequences of Missing a Booking Slot
12.3.1. Forfeiture of Participation

No-Show Policy: If a participant fails to attend their scheduled session without prior notification, it will be considered a No-Show.

Forfeiture: A No-Show will result in the immediate forfeiture of their participation in the Ask Briendly Podcast. The participant will not be eligible for rescheduling or reapplication.

Impact on Future Applications: Repeated instances of No-Shows may result in the participant being disqualified from future opportunities with the podcast.
12.4. Cancellation and Rescheduling Procedures
12.4.1. Participant-Initiated Cancellation or Rescheduling
Participants who need to cancel or reschedule their booking slot must adhere to the following procedures:

Advance Notice: Provide at least 48 hours (2 business days) notice prior to the scheduled session time.
-
Method of Notification: Please sign into your accoutn and reschedule 48 hours in advance.

Rescheduling Availability: Rescheduling is subject to availability and at the discretion of DigiSuite Council LLC. Not all requests may be accommodated.
12.4.2. Podcast-Initiated Cancellation
In certain circumstances, DigiSuite Council LLC reserves the right to cancel or reschedule a participant’s session. These circumstances include, but are not limited to:

Unforeseen Circumstances: Technical issues, emergencies, or other unforeseen events that prevent the session from proceeding as planned.

Participant Conduct: Any behavior deemed inappropriate, disruptive, or in violation of the Terms and Conditions.

Compliance Issues: Failure to comply with the Terms and Conditions, including the Prohibition on Resale and Commercial Use of Podcast Content and No Guarantees of Financial Results and Limitation of Liability clauses.
Participants will be notified promptly if their session is canceled or rescheduled by the podcast team.
12.5. Exceptions and Considerations
12.5.1. Medical or Emergency Situations
In cases of medical emergencies or other extenuating circumstances, DigiSuite Council LLC may, at its sole discretion, allow for rescheduling or reinstatement of participation. Participants must provide appropriate documentation or evidence to support their request.
12.5.2. Mutual Agreement
Any exceptions to this Cancellation Policy must be mutually agreed upon in writing by DigiSuite Council LLC. Such agreements will outline the specific terms and conditions under which the exception is granted.
12.6. Acknowledgment and Acceptance
By booking a session with the Ask Briendly Podcast, participants acknowledge that they have read, understood, and agree to comply with this Cancellation Policy, as well as the entire Terms and Conditions document.

13. Entire Agreement
These Terms constitute the entire agreement between you and Ask Briendly regarding your participation in the podcast and supersede all prior or contemporaneous understandings, agreements, or representations, whether written or oral.
